End-User License Agreement (EULA)

The End-User License Agreement ("EULA") is a legal contract between you ("User" or "Licensee") and Valkyr Labs Inc. ("Licensor," "we," "us," or "our") concerning the use of our software, which includes developer tools, AI agents, code generators, and other applications ("Software"). By installing, accessing, or using the Software, you agree to be bound by this EULA.

Scope of Agreement​

This EULA governs personal or individual use of the Software, including our web-based services and any downloadable components. If you are a business, developer, or redistributor of generated code, a separate Software License Agreement applies. Please contact Valkyr Labs Inc. for further details on business or developer licenses.

License Grant​

We grant you a non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business operations or personal use in accordance with this EULA. You may not sublicense, distribute, or transfer the Software to any third party without our express written consent. You are responsible for verifying the accuracy and legality of any AI-generated code or output.

Restrictions​

  • No Reverse Engineering: You may not reverse-engineer, decompile, or disassemble the Software, except as expressly permitted by law.
  • Prohibited Uses: You may not use the Software for unlawful purposes, or to create a competing product or service. This specifically includes using the Software’s generative AI or code generation capabilities to develop competing products such as AI-based tools, code generators, or web app builders.
  • Generative AI Restrictions: You may not use the Software or any AI-generated content for purposes that are harmful, illegal, or unethical, including the development of malicious software, surveillance tools, or any applications that violate local, national, or international laws.
  • Data Use: You agree that any data you generate through the use of the Software, including AI-generated content, is solely your responsibility. You are responsible for verifying the accuracy and legality of any AI-generated code or output.

Ownership and Intellectual Property​

Ownership rights, including intellectual property rights in the Software, remain with Valkyr Labs Inc. You are granted a limited license to use the Software under the terms of this EULA. Any unauthorized use of the Software may result in legal action.

Payment and Termination​

  • Payment Terms: You agree to pay the license fees for the Software within 30 days of invoicing. Failure to pay will result in suspension or termination of your license and deletion of your account.
  • Termination: We may terminate this EULA immediately if you violate any of its terms. Upon termination, you must cease all use of the Software and destroy all copies of it.

No Warranty​

The Software is provided "as is" without any warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Software will be free of bugs or errors.

Limitation of Liability​

To the maximum extent permitted by law, Valkyr Labs Inc. will not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the Software.

Data Deletion and Account Suspension​

We reserve the right to delete any and all data associated with your account or use of the Software upon termination or non-payment. This includes the right to deactivate your account without further notice if you breach any part of this EULA.

Governing Law​

This EULA will be governed by the laws of the State of California, without regard to conflicts of law principles. Any disputes arising from this EULA will be resolved in the state or federal courts located in San Francisco, California.

Changes to This Agreement​

We reserve the right to update this EULA from time to time. Continued use of the Software after any changes are posted will constitute your acceptance of the modified terms.
