Terms of Service

Valkyr Labs Inc. ("Company", "We", "Us", or "Our") welcomes you to use our services, including software as a service (SaaS), downloadable developer tools, AI systems, and related technologies (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms of Service ("TOS"). If you do not agree to these terms, do not use our Services.

Acceptance of Terms​

By using our Services, you accept these terms and represent that you are authorized to do so. These TOS may be updated periodically, and your continued use of the Services constitutes acceptance of the changes.

Use of Services​

You may use the Services in accordance with this TOS and applicable laws. Unauthorized or abusive use of the Services, including reverse-engineering, unauthorized access, or use for illegal activities, is prohibited.

Account and Payment Terms​

  • Account Requirements: You must create an account to use the Services. You are responsible for maintaining the confidentiality of your account information.
  • Payment Terms: You agree to pay all fees associated with your use of the Services within 30 days of receiving an invoice. Failure to pay may result in suspension, termination, or deletion of your account and associated data.
  • Non-Payment Consequences: If payment is not received within 30 days, we reserve the right to suspend or terminate your access to the Services and delete all associated data without further notice.

Intellectual Property​

  • Ownership: Intellectual property rights in the Services, including software, content, documentation, and trademarks, are owned by Valkyr Labs Inc. or its licensors.
  • License to Use: We grant you a non-exclusive, non-transferable, revocable license to use the Services for their intended purposes. This license does not include any rights to the underlying software code, which remains our property.
  • Restrictions: You may not modify, distribute, sell, or create derivative works from the Services without our express written permission.

Warranty Disclaimer​

The Services are provided "as is" without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be free of bugs or errors.

Limitation of Liability​

To the maximum extent permitted by law, Valkyr Labs Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business arising out of your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Termination​

We reserve the right to suspend or terminate your account at any time for any violation of these TOS or other legal reasons, including but not limited to non-payment of fees or misuse of the Services. Upon termination, your access to the Services and all associated data will be revoked.

Data Deletion​

In case of account termination or non-payment, we reserve the right to delete any and all data associated with your account without notice.

Governing Law​

These TOS are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal actions or proceedings related to the Services must be brought in the state or federal courts located in San Francisco, California.

Changes to Terms​

We reserve the right to modify these TOS at any time. Changes will be effective when posted, and continued use of the Services after changes means you accept the updated TOS.
