End User License Agreement
Effective date: August 13, 2026
This End User License Agreement ("EULA") governs downloadable Valkyr Labs Inc. software, extensions, command-line tools, local runtimes, and updates ("Licensed Software"). The Terms of Service also apply to self-service hosted features; a signed Enterprise MSA and Order Form control for enterprise use and override this EULA.
License
Subject to the governing agreement and payment of applicable fees, Valkyr grants you a non-exclusive, non-transferable license during the applicable term to install and use the Licensed Software on authorized devices for internal business or personal purposes. Documentation or an Order Form may specify seats, instances, environments, and whether a component is subscription, evaluation, or perpetual.
You may make reasonable backup copies. You may not distribute or sublicense the Licensed Software; reverse engineer it except where applicable law prohibits the restriction; bypass license, security, metering, or access controls; remove notices; or use nonpublic Valkyr Technology to reproduce a material Licensed Software capability. Open-source components remain governed by their licenses.
Generated Deliverables are not Licensed Software
Customer-specific code, configuration, workflows, schemas, and other exportable artifacts generated for you ("Generated Deliverables") are not Licensed Software merely because the Licensed Software created them. As between you and Valkyr and to the extent permitted by law, you own Generated Deliverables after paying applicable fees. Valkyr assigns any rights it may have in them to you.
Valkyr retains its generators, frameworks, templates, models, runtime components, libraries, APIs, methods, and other general-purpose technology ("Valkyr Technology"). If Valkyr Technology is embedded in a Generated Deliverable, you receive a worldwide, perpetual, royalty-free license to use, modify, host, distribute, and commercialize it only as part of or to operate and support that Generated Deliverable, unless purchase terms identify a separately licensed runtime. Third-party materials remain subject to their terms.
