MCP and Marketplace Terms

These MCP and Marketplace Terms ("Marketplace Terms") supplement the agreement governing your use of Valkyr's Services ("Customer Agreement") when you access, install, buy, sell, or publish an MCP server, agent, connector, model, workflow, application, or other marketplace item ("Item").
1. Valkyr's role
Unless an Item is identified as "Valkyr-provided," its publisher—not Valkyr—is its seller, licensor, and provider. Valkyr provides discovery, technical distribution, and, where offered, payment processing as the publisher's limited payment-collection agent. Valkyr is not a party to an agreement between a third-party publisher and buyer except for these Marketplace Terms.
2. Item terms and permissions
An Item's listing must state its publisher, price, license, data access, required credentials, agent capabilities, support terms, and material dependencies. The Item's license governs the Item; the Customer Agreement governs Valkyr Services. If no Item license is stated, the buyer receives a non-exclusive, non-transferable license during the paid entitlement to use the Item internally with Valkyr Services. Installing an Item does not grant it permission beyond scopes the buyer expressly authorizes.
3. Buyer responsibilities
Buyers must review requested scopes, publisher terms, data practices, security posture, and agent actions before installation and must use least privilege, approval gates, monitoring, and revocation controls. Third-party Items are Third-Party Materials and are provided "as is" by Valkyr. Valkyr may perform automated or manual review, but listing or a badge is not a warranty, security certification, or endorsement.
4. Publisher obligations
A publisher represents and warrants that it: (a) has all rights required to list and license the Item; (b) provides accurate, current, nondeceptive listing and privacy information; (c) identifies all fees, material limitations, data access, subprocessors, telemetry, and model-provider use; (d) maintains reasonable security, support, and vulnerability-remediation practices; (e) complies with law, the AUP, and applicable open-source licenses; and (f) will not access buyer data or systems beyond documented, authorized scopes.
Publishers must promptly notify Valkyr and affected buyers of a material vulnerability, unauthorized access, loss of required rights, or legal claim involving an Item. Publishers may not use buyer data to train a generalized model or for advertising without the buyer's separate, informed opt-in.
5. Fees, refunds, and taxes
Prices, billing period, usage charges, renewal, cancellation, and any revenue share must be disclosed before purchase. Unless stated otherwise at purchase, paid Item subscriptions renew on the same period until canceled and cancellation takes effect at the end of the current paid period. Refunds are governed by the listing or applicable law. The publisher is responsible for taxes on its proceeds and Valkyr may withhold amounts or collect transaction taxes where required.
6. Removal and suspension
Valkyr may reject, suspend, or remove an Item or listing for security, legal, quality, nonpayment, abandonment, or AUP concerns. When practicable, Valkyr will notify the publisher and allow cure. Valkyr may remotely disable distribution or credentials under its control to address an imminent risk, but will not intentionally delete a buyer's independent copy or customer-owned data.
7. Ownership and feedback
Publishers retain ownership of their Items and grant Valkyr a worldwide, non-exclusive license to host, reproduce, scan, test, display, market, and distribute each Item for marketplace operation. Buyers retain their data and customer-owned Generated Deliverables. Feedback may be used under the Customer Agreement.
8. Claims and indemnity
Publishers will defend and indemnify Valkyr and buyers against third-party claims arising from an Item's infringement, unlawful data processing, security vulnerability caused by the Item, or the publisher's breach of these Marketplace Terms. The Customer Agreement's process and liability limits apply between Valkyr and its customer; a publisher's separate agreement may establish buyer remedies.
